Guidelines intended to prevent the risk of breaching prevailing legislation and the OMX First North rules on insider trading.
1. Holdings and reporting
Persons with insider positions shall report their own and related parties’ holdings of shares as well as other financial instruments in Cryptzone (first-time report) to the company. Changes in the holding
shall also be reported.
Reporting shall take place within five business days after the completion of the transaction.
The report shall be made directly to Cryptzone. The report shall contain information regarding the transaction in question as well as the number of financial instruments after the transaction.
Cryptzone publishes the holdings of insiders and changes in holdings after the report on its home page.
2. This is an insider position
Persons that are considered to have particularly good opportunities of acquiring access to confidential information about Cryptzone have insider positions. This includes, among others:
- Members or alternate members of Cryptzone’s board of directors
- Cryptzone’s chief executive officer or deputy chief executive officer
- Auditors or alternate auditors of Cryptzone
- Senior executives or contractors of Cryptzone, if the position or assignment can normally be assumed to involve access to undisclosed information that can affect Cryptzone’s share price
- Executives or contractors according to a-c above or other senior executives in a subsidiary, associated or portfolio company that may be assumed to have access to undisclosed information that can affect Cryptzone’s share price.
- Major shareholders, in other words, those shareholders who own at least ten percent of the share capital or at least ten percent of the voting rights for all shares in Cryptzone (themselves or together with such natural or legal persons who are related to the shareholder).
- Major shareholders are also persons who through their company or companies own at least ten percent of the share capital or voting rights in a stock market company. Thus, persons do not need to have any holdings of their own.
- Related parties.
Related parties include:
- husband/wife or partner of the person with the reporting duty.
- children under age that are in the custody of the person with the reporting duty.
- other related parties if they have a common household with the person with the reporting duty for at least one year.
- legal persons whose business activities the person with the reporting duty has a significant influence over and with which he, or related parties according to 1-2 above, have an economic partnership.
- legal persons whose business activities the person with the reporting duty has a significant influence over and with which he, or related parties according to 1-3 above, have an economic partnership.
Related legal persons are based on the assumption that there is a significant influence and an economic partnership. By significant influence it means that persons are included in the board of directors because
they exercise or hold a senior position in the legal person. A dominant ownership position is also considered to denote a significant influence. By economic partnership it means participating interests or right to
receive financial returns from the legal person. According to the law, the participating interest limit is ten percent. Foreign legal persons may also be covered by the term related parties.
3. Share related financial instruments can be:
- stock options
- stock futures
- paid up subscribed for shares
- interim certificate
- convertible subordinated loans/debt instruments
- option certificates
- warrants (debt instruments linked with options for new subscription) subscription options
- participation certificates
4. Disclosure rules
Cryptzone works to ensure that major owners that are not simultaneously considered insider persons shall report certain transactions. The following applies:
Owners that own shares in Cryptzone corresponding to at least ten percent of the share capital or voting rights of all shares in Cryptzone, or that own shares to this extent together with such natural or
legal persons who are related parties of the shareholder are considered to be major owners. Major owners shall report purchases or sales of shares to Cryptzone that result in ownership passing any of
the limits 10, 20, 33.3, 50 or 66.7 percent.
The report and verification of the report is carried out and administered in the same manner as the insider persons report.
5. Ban on trading in financial instruments in Cryptzone prior to publication of reports and news
During 30 days prior to the publication by Cryptzone of interim reports or annual reports, the date of publication included, a general ban applies to insider persons in relation to the purchase or
sale of financial instruments in Cryptzone. The reporting days are published on Cryptzone’s home page.
The general ban on trading applies prior to public announcement of any planned transactions or events that may affect Cryptzone’s share price. The ban on trading applies 30 days prior to the announcement.
